These Terms and Conditions (“Terms”) govern the provision of services by World IT Dimensional Solutions (“WITDS”, “we”, “our”, “us”) to you (“Client”, “you”). By engaging our services, you agree to these Terms.
Scope of Services: WITDS provides technology services including custom software development, mobile apps, website development, SEO, and social media management. The specific services, deliverables, and timelines will be set out in a written agreement or proposal. Any changes or additions to the agreed scope must be approved in writing and may affect the project price and schedule. WITDS will perform services with reasonable skill and care according to standard industry practices. We do not guarantee specific outcomes (e.g. SEO rankings), and any benchmarks or results mentioned are estimates only.
Client Responsibilities: The Client must cooperate with WITDS by providing all necessary materials (content, designs, access to systems, etc.), information, and approvals in a timely manner. The Client represents that it has all rights to provide such materials and that they do not violate any laws or third-party rights. Delays in Client response or failure to provide required inputs may delay the project and could result in additional charges. The Client is responsible for maintaining backups of their data; WITDS is not liable for any loss of data during service.
Fees and Payments: Fees for projects (one-time development) are as quoted in proposals. Typically, payments are due according to the agreed milestone schedule (for example, an initial deposit, progress payments, and final payment upon delivery). Subscription services (e.g. ongoing SEO or support) are billed on a recurring basis (monthly or as agreed) and auto-renew until canceled in writing. All fees are exclusive of applicable taxes, which will be added to invoices where required. Invoices are payable within the time period specified (usually 15–30 days). Overdue payments may incur late fees (e.g. interest at 1.5% per month). All payments shall be made through the methods we designate (e.g. Stripe or bank transfer). The Client agrees that payments made are non-refundable except as stated in our Refund Policy below.
Intellectual Property: Unless otherwise agreed in writing, WITDS retains all intellectual property rights in the work we create (including source code, software, designs, and content). Upon full payment, WITDS grants the Client a non-exclusive, perpetual license to use the final deliverables for its intended purpose. WITDS may use non-confidential deliverables (such as generic code libraries or tools) in other projects. Any pre-existing intellectual property of WITDS (e.g. frameworks, templates) remains our exclusive property. The Client is responsible for obtaining any necessary licenses for third-party software or materials they provide; WITDS will not be liable if such licenses are missing or invalid.
Warranties and Disclaimers: WITDS warrants that the services will be provided in a professional manner. Except as explicitly stated, all services and deliverables are provided “as is,” with no other warranties (express or implied), including merchantability or fitness for a particular purpose. We do not guarantee that the services will be uninterrupted or error-free. The Client is responsible for testing deliverables before use.
Limitation of Liability: To the fullest extent permitted by law, WITDS will not be liable for indirect, special, incidental, consequential or punitive damages (including loss of profits or data) arising from or related to these Terms or our services. Our total liability (whether in contract, tort, or other legal theory) is limited to the total amount the Client has paid to WITDS for the services that gave rise to the claim. Any claim must be made within one year of discovering the issue.
Governing Law and Dispute Resolution: These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Dehradun, Uttarakhand, India.
Changes to Terms: WITDS reserves the right to modify or update these Terms at any time. We will notify you of material changes by email or by posting updated Terms on our website. Revised terms will be effective immediately after posting. Your continued engagement of our services after changes are posted constitutes acceptance of the new Terms.
